Learner+ Terms of Service

Welcome to Learner+, a product division of CMEfy, Inc. (“CMEfy,” “Company,” or “We”), a Delaware corporation. Learner+ is the platform through which clients (“Client” or “You”) access reflective learning solutions and related services. While the contracting entity is CMEfy, the Service that you use, purchase, and engage with is Learner+. These Terms of Service (“Terms”) govern your use of Learner+ and incorporate our Terms of Use and Privacy Policy. Please review these Terms carefully. Failure to comply may result in immediate termination of your access to Learner+.

Acceptance of Terms

By using Learner+, checking an “Accepted and Agreed” box, completing an order webpage, signing a paper order referencing this agreement, or otherwise downloading, accessing, or using the Service, You:

1. Acknowledge that You have read these Terms in full;
2. Confirm that, if Client is an entity, the person accepting these Terms is authorized to do so; and
3. Agree to be bound by these Terms and assume responsibility for all noncompliance.

If You are unwilling or unable to agree to these Terms, You must discontinue use of Learner+ immediately.

Client Warranties and Representations

Compliance Obligations

Client acknowledges and agrees to the following compliance requirements when using Learner+:

• Client shall not say or imply that its content, event, podcast, course, or activity provides CME/CE credit.
• Client shall not mention specific credit types (e.g., AMA, ANCC, ACCME); only Learner+ may reference accreditation details.
• Client shall not use accreditor logos, language, or media.
• Client shall not connect CME/CE credit language directly to its program, agenda, or learning objectives; credit is always tied to Reflective Practice through Learner+, not Client’s materials.
• Client shall not copy, lift, or recreate content from the Learner+ website, custom landing pages, or Learner+ materials for use on Client’s site, emails, or communications.
• Client shall not create or distribute “how-to” guides, tutorials, or instructional materials about using Learner+. Only Learner+ may provide such resources (Client should refer learners to inbox@learner.plus or official Learner+ materials).
• Client shall not resell its Learner+ account or provide unauthorized access to links, dashboards, or related resources.

Self-Directed and Voluntary

Participation in Learner+ is self-directed and voluntary. The Service is not mandatory or required for any purpose, and Client shall not represent or imply otherwise.

External Learning Opportunities

The Service may lead learners to external credit or other value-added learning opportunities. Client shall not represent or imply that Learner+ accredits, provides, or funds continuing education credit beyond Reflective Practice.

Consistent Messaging and Marketing

Client acknowledges and agrees that Learner+ requires consistent and compliant messaging in all communications:

• All CME/CE credit is awarded exclusively through Learner+ for participation in Reflective Practice.
• Learner+ does not accredit Client’s content or event.
• All messaging must clearly attribute Learner+ and CME Outfitters as the accredited provider.
• CME/CE credit messaging must remain free from promotional, marketing, or commercial influence.
• Client shall use only Learner+-approved messaging templates or language when referencing reflective credit opportunities.
• Client shall allow for random messaging audits of marketing material related to the Service and shall provide any reasonably requested non-confidential materials for review.
• Client shall cooperate fully during any compliance review or audit.

Noncompliant use of CME/CE messaging may result in audit, suspension of partnership privileges, and/or financial penalties.

No Clinical Advice or Endorsement

The Service is not clinical advice and does not endorse the views of learners. Client shall not represent or imply otherwise.

No Directing to Accredited Continuing Education

Client shall not, directly or indirectly, direct learners to accredited continuing education opportunities supported or funded by ineligible entities. Client shall not represent or imply that Learner+ or CMEfy endorses such entities.

Termination for Non-Compliance

CMEfy is committed to providing a compliant, consistent, and learner-friendly experience.

• Any violation of these Terms, including the Compliance Obligations and Messaging/Marketing requirements, constitutes a material breach.
• CMEfy may immediately suspend or terminate Client’s access to Learner+ without refund or opportunity for cure.
• CMEfy may pursue additional remedies available at law or equity, including financial penalties.
